Insurance and Indemnification

The Consultant maintains appropriate professional indemnity insurance for consulting services. Clients agree to indemnify and hold harmless the Consultant from claims arising from:

  • Client's failure to follow documented recommendations
  • Unauthorized modifications to implemented solutions
  • Violations of third-party licenses or terms of service
  • Client's breach of confidentiality obligations

Termination

Either party may terminate an engagement:

  • With written notice as specified in the engagement agreement
  • Immediately for material breach of terms
  • For non-payment of fees within specified timeframes

Upon termination:

  • Client remains responsible for fees for work completed to date
  • Consultant will provide documentation for work completed, subject to payment
  • Confidentiality obligations continue beyond termination
  • Access credentials and materials must be returned or destroyed

Dispute Resolution

In the event of a dispute arising from these Terms or any engagement:

  1. Parties agree to first attempt resolution through good faith negotiation
  2. If negotiation fails, parties may pursue mediation before formal legal proceedings
  3. Any legal disputes shall be governed by the laws of Victoria, Australia
  4. Parties submit to the exclusive jurisdiction of the courts of Victoria

Our services may involve or recommend third-party platforms, software, or services (e.g., Azure, AWS, GitHub). Use of these services is subject to their respective terms and conditions. We are not responsible for:
